FSX Warranty

Subject to the Eligibility Conditions, Food Service Exchange solely warrants to buyer that for the first ninety (90) days following buyer’s receipt of an Eligible Product, such Eligible Product will Function As Intended; provided, Food Service Exchange gives no other warranty, express or implied, with respect to any product purchased or sold through the Website and shall have no obligation to any buyer or seller for any warranty claims, including, without limitation, (x) any claim based on any Damage or Defect to any product purchased or sold through the Website, (y) any claim related to any Eligible Product that does not Function As Intended if the failure to Function As Intended is the result of an Excluded Cause, and (z) any claim with respect to any Eligible Product if there have been any Actions That Void The Warranty (the"FSX Warranty"). A buyer promptly must notify Food Service Exchange in writing of a claim under the FSX Warranty within ninety (90) days following buyer’s receipt of the applicable Eligible Product from seller, and such claim shall be submitted to Food Service Exchange in accordance with Section 16.  Any claim made by buyer under the FSX Warranty later than ninety (90) days following buyer’s receipt of the applicable Eligible Product from seller is void and will be rejected.  The buyer shall supply Food Service Exchange with all information reasonably requested by Food Service Exchange to allow Food Service Exchange to determine in its sole discretion whether such product is an Eligible Product, whether the Eligibility Conditions are met, whether the Eligible Product fails to Function As Intended, and if so, whether such failure is the result of an Excluded Cause or there has been any Actions That Void The Warranty.  Food Service Exchange reserves the right to reject buyer’s claim under the FSX Warranty if buyer fails to provide such information. If Food Service Exchange determines in its sole discretion that the product is not an Eligible Product, or the Eligibility Conditions are not met, or the Eligible Product does Function As Intended, or that there is solely Damage or Defect to the Eligible Product, or that a failure of the Eligible Product to Function As Intended is the result of an Excluded Cause or there have been any Actions That Void The Warranty, such determination will be final and buyer’s claim under the FSX Warranty will be rejected.  If Food Service Exchange determines in its sole discretion that the product is an Eligible Product, the Eligibility Conditions are met, the Eligible Product does not Function As Intended, that such failure of the Eligible Product to Function As Intended is not the result of an Excluded Cause, and that there have been no Actions That Void The Warranty, then Food Service Exchange will decide in its sole discretion whether to repair the Eligible Product (at the sole expense of Food Service Exchange, not to exceed the Purchase Price), replace the Eligible Product with a product of equal features and functionality (at the sole expense of Food Service Exchange, not to exceed the Purchase Price), or refund to buyer the Purchase Price buyer paid to seller (plus the amount of taxes paid by buyer pursuant to such purchase) for such Eligible Product, and such decision by Food Service Exchange will be final.  Any repair pursuant to the FSX Warranty shall be made solely by a repair service specified or approved in writing by Food Service Exchange, and buyer shall cooperate reasonably to provide such repair service with access to such Eligible Product.  Any replacement will be provided from a source selected by Food Service Exchange, and such replacement product will be subject to the terms of this Agreement and the original terms of sale between buyer and seller for the applicable Eligible Product being replaced.  Food Service Exchange will use commercially reasonable efforts to process a buyer’s claim under the FSX Warranty as promptly as practicable.  When pursuing a claim under the FSX Warranty, a buyer shall not return the Eligible Product to seller or send it to Food Service Exchange or any third party unless directed to do so in writing by Food Service Exchange, and buyer will cooperate with Food Service Exchange in regards to all procedures for any such return.

"Actions That Void The Warranty" means: (i) attempting to repair or service the Eligible Product, in whole or in part, during the ninety (90) days following buyer’s receipt of the Eligible Product; (ii) continuing to use the Eligible Product after buyer knows or reasonably should know that such Eligible Product does not Function As Intended; (iii) modifying or intentionally damaging the Eligible Product so that it does not Function As Intended; or (iv) buyer failing to comply with the terms of Section 7(D)(ii).  

"Damage"means: (i) chips, dents or scratches to the Eligible Product; (ii) cracks in the Eligible Product that do not result in the failure of such Eligible Product to Function As Intended; or (iii) broken or loose parts in or on the Eligible Product that do not result in the failure of such Eligible Product to Function As Intended.  

"Defect"means: (i) cosmetic defects or imperfections, including, without limitation, discoloration or incorrect color of an Eligible Product, missing paint, bubbled or peeling paint, faded color, or tarnishes, stains or other marks on the Eligible Product; (ii) the Eligible Product does not sit or stand level, in either case, which does not result in the failure of such Eligible Product to Function As Intended; (iii) the Eligible Product is malodorous or emits odor during operation, in either case, which does not result in the failure of such Eligible Product to Function As Intended; (iv) the size, weight or dimension of an Eligible Product does not meet buyer’s needs or expectations; (v) operation of the Eligible Product is louder than buyer’s expectations, or there are squeaks or other unexpected or unusual noises or sounds in the operation of the Eligible Product, in each case, which do not result in the failure of such Eligible Product to Function As Intended; or (vi) any surface, marking, knob, button, touch screen, touch panel, handle, display screen, viewing window, keyboard, tray, door, or area that comes into contact with human touch, is worn, in each case, which does not result in the failure of such Eligible Product to Function As Intended.  

"Documentation"means the seller’s documentation for such Eligible Product and any written specifications for such Eligible Product from the original manufacturer of such Eligible Product.

"Eligibility Conditions"means: (i) buyer has purchased or seller has furnished insurance coverage on the shipment of the Eligible Product to buyer; and (ii) buyer promptly has inspected the Eligible Product upon receipt of shipment.  

"Excluded Cause"means the Eligible Product fails to Function As Intended as a result, in whole or in part, of: (i) damage during shipment of the Eligible Product to buyer; (ii) improper installation or assembly of the Eligible Product following buyer’s receipt of the Eligible Product from seller; (iii) failure to store, use, clean or maintain the Eligible Product in accordance with the Documentation following buyer’s receipt of the Eligible Product from seller; (iv) abuse or misuse or mistreatment of the Eligible Product, operator neglect, operator error, arson, vandalism, riots or looting, theft or loss, exposure to weather conditions, improper electrical / power supply (including power surges), insect or pest infestation, act of nature (any accident caused or produced by any physical cause which cannot be foreseen or prevented, such as storms, tornadoes, hurricanes, floods or earthquakes), fire or smoke originating from outside the Eligible Product, or other peril originating from outside the Eligible Product, in each case, following buyer’s receipt of the Eligible Product from seller; (v) any Third Party Product installed in or used with the Eligible Product following buyer’s receipt of the Eligible Product from seller.  

"Function As Intended"means the Eligible Product operates in all material respects in accordance with the Documentation; provided, however, if Documentation does not exist or cannot reasonably be obtained by FSX, or if FSX determines in its sole discretion that the Documentation does not specify how the Eligible Product should operate, then "Function As Intended" means that, as determined in the sole discretion of FSX, the Eligible Product operates substantially in accordance with other products of like kind and quality in all material respects when such Eligible Product (x) is operated with appropriate care by a person of ordinary skill and experience in the industry with appropriate training on usage of such product, and (y) is used in an application that is substantially equivalent to applications for which such Eligible Product ordinarily is intended.  

"Purchase Price"means, with respect to an Eligible Product, the purchase price paid by buyer to seller for such Eligible Product, excluding the amount for (i) taxes, (ii) shipping costs, (iii) insurance, (iv) any optional warranty, support or maintenance plan purchased by buyer, and (v) any spare parts or consumables purchased by buyer when buying such Eligible Product.

"Third Party Product"means any equipment, part, component, software or device not supplied by seller with buyer’s original purchase of the Eligible Product, including, without limitation, batteries, light bulbs, software updates or upgrades, or consumable goods.
